<R<\/p>\n {mprestriction ids=”1,2,3″}<\/p>\n D><\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0where the organisation may carry out its activities; and<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0staffing of the organisation.<\/p>\n \u00a0\u00a0\u00a0(3) Upon the registration of an organisation under this Act and the registration under this section, the Organisation shall become a body corporate with perpetual succession and with power to sue and be sued in, its corporate name.<\/p>\n \u00a0\u00a0\u00a0(4) An organisation shall not be registered under this Act if the objectives of the Organisation as specified in its constitution are in contravention of the law.<\/p>\n \u00a0\u00a0\u00a0(5) An organisation which\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0contravenes any provisions of this Act;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0operates contrary to the conditions or directions specified in its permit;<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0carries out any activity without a valid permit or certificate of incorporation;<\/p>\n commits an offence and is liable, on conviction, to a fine not exceeding 25 currency points.<\/p>\n \u00a0\u00a0\u00a0(6) Where an organisation commits an offence under subsection (5), any director or officer of the organisation whose act or omission gave rise to the offence also commits an offence and is liable on conviction\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0in the case of an offence under subsection (5)(a<\/i>), to a fine not exceeding 50 currency points or imprisonment not exceeding one year or both;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0in the case of an offence under subsection (5)(b<\/i>) or (c<\/i>), to a fine not exceeding 20 currency points or imprisonment not exceeding six months or both.<\/p>\n \u00a0<\/p>\n <\/a>3.\u00a0\u00a0\u00a0Application for registration with the board.<\/p>\n \u00a0\u00a0\u00a0(1) An organisation shall apply for registration under this Act to the secretary to the board.<\/p>\n \u00a0\u00a0\u00a0(2) An application made under subsection (1) shall be\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0accompanied by the prescribed fee;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0in such form and supported by such evidence of statements made in the application as the Minister may prescribe; and<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0accompanied by a copy of the organisation’s constitution.<\/p>\n \u00a0\u00a0\u00a0(3) The Minister may, in an emergency situation, exempt an Organisation from any of the provisions of this section; except that the exemption shall not include the payment of the prescribed fee.<\/p>\n \u00a0\u00a0\u00a0(4) No exemption made under this section shall exceed a period of one year.<\/p>\n \u00a0<\/p>\n <\/a>4.\u00a0\u00a0\u00a0Establishment and composition of the board.<\/p>\n \u00a0\u00a0\u00a0(1) There shall be a board to be known as the National Board for Nongovernmental Organisations.<\/p>\n \u00a0\u00a0\u00a0(2) The Board shall consist of the following\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0three members from the public one of whom shall be a female;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0one member from each of the Ministries responsible for the following\u2014<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(i)\u00a0\u00a0\u00a0internal affairs;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(ii)\u00a0\u00a0\u00a0justice and constitutional affairs;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(iii)\u00a0\u00a0\u00a0local governments;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(iv)\u00a0\u00a0\u00a0health;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(v)\u00a0\u00a0\u00a0agriculture, animal industry and fisheries;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(vi)\u00a0\u00a0\u00a0gender and social development;<\/p>\n \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0(vii)\u00a0\u00a0\u00a0education and sports.<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0one member from the office of the Prime Minister;<\/p>\n \u00a0\u00a0\u00a0(d<\/i>)\u00a0\u00a0\u00a0one member from the Internal Security Organisation; and<\/p>\n \u00a0\u00a0\u00a0(e<\/i>)\u00a0\u00a0\u00a0one member from the External Security Organisation.<\/p>\n \u00a0\u00a0\u00a0(2a) The persons to be appointed under subsection (2) shall be appointed by the Minister in consultation with the Minister responsible for the body referred to in that subsection.<\/p>\n \u00a0\u00a0\u00a0(2b) At least one-third of the members in subsection (2) shall be female.<\/p>\n \u00a0\u00a0\u00a0(3) The Minister shall appoint the chairperson and vice chairperson of the board from the members appointed under subsection (2).<\/p>\n \u00a0\u00a0\u00a0(4) A member of the board shall hold office for a period of three years and shall be eligible for reappointment.<\/p>\n \u00a0\u00a0\u00a0(5) A member of the board may resign his or her office by writing under his or her hand addressed to the Minister or may be removed from office by the Minister for failure or inability to discharge the functions of his or her office.<\/p>\n \u00a0\u00a0\u00a0(6) Where a member of the board dies, resigns or for any reason ceases to be employed in the Ministry or department from which he or she was appointed, the Minister may appoint another person from the same Ministry or department to take the place of that member, and the person so appointed shall hold office until the expiration of the term of the member in whose place he or she was appointed.<\/p>\n \u00a0<\/p>\n <\/a>5.\u00a0\u00a0\u00a0Common seal of the board.<\/p>\n \u00a0\u00a0\u00a0(1) The board shall have a common seal which shall be kept in the custody of the secretary.<\/p>\n \u00a0\u00a0\u00a0(2) The affixing of the common seal of the board shall be authenticated by the signatures of the chairperson and two other members of the board.<\/p>\n \u00a0\u00a0\u00a0(3) Every document purporting to be an instrument issued by the board and to be sealed with the seal of the board, which is authenticated in the manner provided by this section, shall be received and deemed to be such an instrument without further proof unless the contrary is shown.<\/p>\n \u00a0<\/p>\n <\/a>6.\u00a0\u00a0\u00a0Secretariat.<\/p>\n \u00a0\u00a0\u00a0(1) The board shall have a secretariat in the Ministry responsible for internal affairs which shall be headed by a secretary whose office shall be a public office within that Ministry.<\/p>\n \u00a0\u00a0\u00a0(2) The secretary, who shall not be a member of the board, shall be appointed by the Minister.<\/p>\n \u00a0\u00a0\u00a0(3) The secretary shall\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0take minutes of the meetings of the board and any of its committees;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0keep the records of all the transactions of the board; and<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0perform any other function as may be assigned to him or her by the board.<\/p>\n \u00a0<\/p>\n <\/a>7.\u00a0\u00a0\u00a0Functions of the board.<\/p>\n \u00a0\u00a0\u00a0(1) The functions of the board shall be to\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0consider applications for registration and incorporation by organisation;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0keep a register of registered organisations;<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0guide and monitor organisations in carrying out their services at all levels of Government;<\/p>\n \u00a0\u00a0\u00a0(cc<\/i>)\u00a0\u00a0\u00a0develop policy guidelines for community based organisations;<\/p>\n \u00a0\u00a0\u00a0(d<\/i>)\u00a0\u00a0\u00a0make recommendations to the relevant authorities in regard to employment of noncitizens by an organisation, or whether an organisation may be exempted from taxes and duties or be accorded any other privileges or immunities;<\/p>\n \u00a0\u00a0\u00a0(e<\/i>)\u00a0\u00a0\u00a0advise the Minister on the general policy relating to the operations of organisations.<\/p>\n \u00a0\u00a0\u00a0(2) Community based organisations shall not be required to be incorporated under this Act but they shall register with the District administration of the area where they operate.<\/p>\n \u00a0\u00a0\u00a0(3) In this section, community based organisation means a non-governmental organisation operating at a subcounty level and below, whose objective is to promote and advance the well-being of its members or the community.<\/p>\n \u00a0<\/p>\n <\/a>8.\u00a0\u00a0\u00a0Powers of the board.<\/p>\n \u00a0\u00a0\u00a0The board shall have power to\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0approve or reject applications for registration;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0grant or revoke certificates of registration; or<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0do all such things as are incidental or conducive to the proper carrying out of its functions.<\/p>\n \u00a0<\/p>\n <\/a>9.\u00a0\u00a0\u00a0Appeal.<\/p>\n \u00a0\u00a0\u00a0A person aggrieved by the decision of the board made under section 8 may within three months of the date he or she is notified of the decision appeal to the Minister.<\/p>\n \u00a0<\/p>\n <\/a>10.\u00a0\u00a0\u00a0Grounds for revocation of certificate of registration.<\/p>\n \u00a0\u00a0\u00a0The board may revoke a certificate of registration of an organisation if\u2014<\/p>\n \u00a0\u00a0\u00a0(a<\/i>)\u00a0\u00a0\u00a0the organisation does not operate in accordance with its constitution;<\/p>\n \u00a0\u00a0\u00a0(b<\/i>)\u00a0\u00a0\u00a0the organisation contravenes any of the conditions or directions inserted in the certificate; or<\/p>\n \u00a0\u00a0\u00a0(c<\/i>)\u00a0\u00a0\u00a0in the opinion of the board, it is in the public interest to do so.<\/p>\n \u00a0<\/p>\n <\/a>11.\u00a0\u00a0\u00a0Meetings of the board.<\/p>\n \u00a0\u00a0\u00a0(1) The board shall meet for the discharge of its functions at least once in every month at such place and time as the chairperson may appoint.<\/p>\n \u00a0\u00a0\u00a0(2) The Chairperson or, in his or her absence, the Vice Chairperson, shall preside at any meeting of the Board and in the absence of both the Chairperson and the Vice Chairperson, the members present may elect a member from amongst their number to preside at the meeting.<\/p>\n \u00a0\u00a0\u00a0(3) The quorum<\/i> at any meeting of the Board shall be one-third of all members of the Board.<\/p>\n \u00a0\u00a0\u00a0(4) Questions proposed at a meeting of the board shall be determined by a simple majority of the members present and voting;
